1. General Terms and Acceptance

The following are the General Terms and Conditions of Use that govern the use of information in digital format, applicable to the products and services offered by LAURUS S.A.C (LAURUS), identified with Tax ID (RUC) N° 20517300625, with registered address at Jr. Monsefú Nro. 903, Urb. Zona Industrial, Lima district, Lima province and department, Peru, for those individuals (hereinafter THE USER) who use the website: https://www.laurusperu.com/ (hereinafter the Site). Likewise, the General Terms and Conditions of Use apply to the links contained in the Site such as "ABOUT US", "WHAT WE DO", "INDUSTRIES", "REPRESENTATIONS", "BLOG" AND "CONTACT US" (hereinafter, the "Sections") owned by LAURUS.

THE USER must read, understand and accept all conditions set forth in the General Terms and Conditions and in the Privacy Policies, as well as in other documents incorporated therein by reference, prior to their registration as a LAURUS User.

Accessing, consulting or using the Site and/or the Sections grants the status of USER and implies full and unconditional acceptance of each and every one of the General Terms and Conditions of Use. Consequently, using the Site and the Sections constitutes acceptance of these terms of use. If you do not agree to be bound by these terms and conditions, you may not access or use the Site and/or the Sections.

Furthermore, the use of certain services offered to THE USER through the Sections is subject to specific particular conditions which, depending on the case, replace, supplement and/or modify the General Conditions (hereinafter the Particular Conditions), so their use constitutes acceptance of such particular conditions.

These conditions constitute a complete agreement between THE USER and LAURUS regarding the use of the Site and the Sections, and prevail over and replace any other verbal or written communications, agreements or proposals between THE USER and LAURUS solely with respect to the subject matter herein.

LAURUS reserves the right to modify these General Terms and Conditions of Use at any time, notifying THE USER of the new version with the incorporated amendments by publishing them on the Site and/or the Sections. Continued use of the Site, Sections or their services by THE USER shall be deemed as acceptance of such modifications.

2. Purpose

Through the Site and/or the Sections, LAURUS provides THE USER with access to and use of various products, services and content made available by LAURUS, or by third-party users of the Site and the Sections and/or third-party service and content providers.

LAURUS reserves the right to unilaterally terminate or modify the configuration, presentation and conditions of use of the Site and its Sections or their services.

3. Conditions of Access and Use of the Site and Sections

3.1 Access and Use

The Site is intended for personal browsing use only. Therefore, THE USER is not authorized to modify, copy, distribute, disclose, transmit, use, reproduce, publish, assign or sell the information, software, products or services obtained from the Site and its Sections.

It is mandatory to complete all fields of any form(s) found in the Sections with valid data in order to use the services provided by LAURUS. THE USER must complete them with their personal information accurately, precisely and truthfully ("Personal Data") and commits to updating their Personal Data when necessary.

THE USER agrees to use the Site, the Sections and the services in accordance with morality and good conduct.

THE USER agrees to make appropriate and lawful use of the Site and its Sections in accordance with applicable legislation. THE USER must refrain from: (i) making unauthorized or fraudulent use of the Sections; (ii) accessing or attempting to access restricted resources of the Sections; (iii) using the Site and/or its Sections for unlawful or illegal purposes, or in a manner that infringes the rights and interests of third parties, or that in any way may damage, disable, overload or prevent the normal use of the Site and the Sections; (iv) causing damage to the Site and/or the Sections; (v) introducing or spreading computer viruses or any other physical or logical systems capable of causing damage; (vi) attempting to access, use and/or manipulate LAURUS data; (vii) reproducing or copying, linking, distributing, allowing public access through any form of public communication, transforming or modifying the content collected from the Site and/or the Sections, unless authorized by the rights holder or legally permitted; (viii) obtaining or attempting to obtain content and data provided by LAURUS using means or procedures other than those made available for this purpose.

3.2 Requirements for Use of the Sections

THE USER declares to be of legal age, fully capable and competent to accept the terms and conditions, obligations, statements, representations and warranties set forth in these Terms and Conditions, and to comply with the provisions of these General Terms and Conditions of Use.

It should be noted that the use of the Sections does not require the creation of a User Account and Password, as the purpose of the Sections is to transfer the user's information to the responsible areas so that they can answer inquiries, contact the user to provide information about the products and services marketed by LAURUS, or to begin a process for the user to become a LAURUS client.

3.3 Intellectual Property

The intellectual property rights regarding the products, services, content and distinctive signs of the Site and the Sections, as well as the rights of use and exploitation thereof, including their disclosure, publication, reproduction, distribution and transformation, are the exclusive property of LAURUS.

THE USER is expressly prohibited from making any transfer of use or intellectual property rights over the Site and the Sections. In particular, copying, transforming, distributing, publicly communicating, making available, extracting, reusing, or using in any form, by any means or procedure, any of them is prohibited, unless authorized by the holder of the corresponding rights. Unauthorized use of the information contained in the Site and the Sections, its resale, as well as infringement of LAURUS's Intellectual Property rights will give rise to the legally established liabilities and payment of damages caused.

THE USER does not acquire any rights merely by using the services and content of the Site and the Sections; and under no circumstances shall such use be considered an authorization and/or license to use them for purposes other than those set forth in these Terms and Conditions of Use.

3.4 Third-Party Intellectual Property

THE USER agrees that the provisions established in the preceding section, regarding the ownership of LAURUS's rights, also apply to the rights of third parties with respect to the services and content of pages linked to the Site and/or the Sections.

3.5 Hyperlinks

The Site may contain links to other websites maintained by third parties.

Hyperlinks will only allow access from the Site to the web pages of such third parties, but may not reproduce them in any form. In this regard, LAURUS has no control over such websites and will NOT be responsible for the content, materials, actions and/or services provided by them, nor for any damages or losses caused by their use, whether direct or indirect. The presence of links to other websites does not imply a partnership, relationship, approval or endorsement by LAURUS of such sites and their content. Any third-party link to LAURUS websites must point to its main or entry page.

Furthermore, THE USER accepts and agrees that LAURUS shall not be liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any content, goods or services available through any Hyperlink.

3.6 Information Privacy

To use the products and services offered by LAURUS, THE USER must provide certain personal data for the corresponding registration. Personal information is processed and stored on servers that maintain physical and technological security and protection standards, in accordance with the Personal Data Protection Law. For more information, users may consult the Privacy Policy on the Site.

When registering on the Site and/or Sections, THE USER's personal data is requested, such as first and last name, address, email, phone number, etc., in order to best handle inquiries and claims, as well as to offer current or future products and/or services.

Under no circumstances will LAURUS's Site and Sections provide information to third parties that identifies THE USER without their authorization. LAURUS guarantees the confidentiality of the personal data collected through the Sites, as well as the implementation of technical and organizational measures that ensure the security of such data. For more information on the processing of personal data, THE USER should consult the Privacy Policy corresponding to the Sites and/or Sections.

3.7 Liability

LAURUS commits to maintaining the operation and availability, without interruptions, of LAURUS services on the Site, and to making its best efforts to minimize errors in any information transmission that may occur. However, due to the very nature of the Internet, it is not possible to guarantee that the aforementioned events will not occur. Additionally, access to LAURUS services may occasionally be suspended or restricted for repair or maintenance work, or the introduction of new products or services, aiming to limit the frequency and duration of such suspensions or restrictions.

3.8 System Failures

LAURUS is not responsible for any damage, harm or loss suffered by THE USER caused by failures in the system, server or Internet service. LAURUS shall also not be liable for any virus that may infect THE USER's equipment as a result of accessing, using or examining any of its websites or from any transfer of data, files, images, texts or audio contained therein.

THE USER may not hold LAURUS liable or demand payment for consequential damages or loss of profits arising from technical difficulties or failures in the systems or Internet service. LAURUS shall not be responsible for any error or omission contained in the Site or any of the Sections as a result of the aforementioned failures.

4. Miscellaneous

4.1 Governing Law

This agreement shall be governed and interpreted in accordance with the laws of the Republic of Peru, without giving effect to any conflict of law principles. If any provision of these Terms and Conditions of Use is declared illegal, contains a gap, or for any reason proves unenforceable, it shall be interpreted within the framework of this agreement and shall in no way affect the validity and enforceability of the remaining provisions.

4.2 Notifications

Any comment, concern or complaint regarding these Terms and Conditions of Use, or the execution of any of them, must be submitted in writing to the address stated in the introduction of this document or to the following email address: info@laurusperu.com.

4.3 Jurisdiction

LAURUS is headquartered in the Lima district, Lima - Peru. All legal matters arising from or related to the Site or the Sections shall be governed by Peruvian legislation. THE USER agrees to submit to the jurisdiction of the courts of the Lima Cercado judicial district in any legal proceeding or action, with all parties waiving the right to their respective domicile jurisdictions.
